Acceptance of this Agreement

This Software License and Service Agreement (this “Agreement”) is a legally binding contract between you (“User” or “you”) and Ningbo Jus Internet Technology Co., Ltd.. regarding your download, installation, access to, or use of the JusTalk application, website, and related services and features (collectively, the “Software” or the “Service”). Please read this Agreement carefully. If you are a minor, you must review and accept this Agreement together with your legal guardian. By installing, accessing, or using the Software, you are deemed to have read, understood, and agreed to be bound by this Agreement. If you do not agree to all of the terms herein, do not use the Software or the Service. This Agreement incorporates by reference the Privacy Policy and any additional terms applicable to particular features, products, or services (collectively, this “Agreement”).

Eligibility

You must be at least 13 years old to register an account and use the Service. If you are a minor under applicable law, your legal guardian must review and consent to this Agreement. By using the Service, you represent and warrant that you have the legal capacity to enter into a binding contract.

License Grant

Subject to your continued compliance with this Agreement, Jus grants you a personal, non-exclusive, revocable, non-transferable, and non-sublicensable limited license to download, install, and use the Software on devices you own or control solely for personal, non-commercial purposes (unless otherwise authorized in writing).
Reservation of Rights: Except for the rights expressly granted herein, all rights in and to the Software are reserved by Jus.

Updates and Changes

Jus may, at any time, update, patch, upgrade, adjust, or modify the Software, including adding or removing features. We may also amend this Agreement to reflect legal, technical, or business changes. The latest version will be posted in the app or on justalk.com and will take effect upon posting (unless stated otherwise). Your continued use of the Service constitutes acceptance of the updated terms.

Restrictions

Without Jus’s prior written consent, you shall not, and shall not permit others to:

Copy, distribute, publicly display, publish, or otherwise reproduce the Software in whole or in part;
Sell, rent, lease, lend, transfer, sublicense, distribute, or otherwise commercialize the Software;
Reverse engineer, decompile, disassemble, decrypt, emulate, crack, or attempt to derive the source code or communication protocols of the Software (except to the extent permitted by law);
Remove, obscure, or alter any copyright, trademark, or other proprietary notices in the Software;
Use the Software for any unlawful, fraudulent, infringing, harassing, defamatory, malicious-code, or interference activities;
Use the Software or any portion thereof for competing products, benchmarking, data scraping, or disclosure of performance results.

These restrictions apply equally to any updates or components you obtain.

User Content and Intellectual Property

(1) User Content
Certain Services allow you to upload, post, send, or share content (including but not limited to images, videos, custom emojis, stickers, GIFs, and text, collectively, “User Content”). You must own or have valid authorization to use such content. Uploading or distributing any images, emojis, stickers, or other materials for which you lack usage rights is strictly prohibited, and you are solely responsible for any resulting infringement.
Prohibited content includes, without limitation:

Content that infringes others’ copyrights, trademarks, patents, trade secrets, rights of publicity, or privacy rights;
Illegal, violent, defamatory, obscene, hateful, threatening, discriminatory, or otherwise unlawful content;
Unauthorized use of trademarks, logos, or other protected symbols;
Sexual content involving minors;
Content that discloses personal data without lawful basis or violates data-protection laws;
Content that violates export controls, sanctions, or other compliance requirements.

(2) License You Grant
You retain ownership of your User Content. By using JusTalk, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, cache, store, transcode/format, display, transmit, and process your User Content to operate, provide, improve, and secure the Service. This license terminates when the relevant content is deleted from our systems, subject to a reasonable period for backup, audit, or legal retention.
(3) Removal and Enforcement
Jus may, in accordance with law, our policies, or our reasonable judgment, remove, block, or restrict access to any User Content, and may suspend or terminate accounts for serious or repeated infringements. We will respond to valid copyright takedown notices (including under the U.S. Digital Millennium Copyright Act (DMCA)) or similar procedures. Jus does not guarantee permanent storage of User Content and bears no liability for deletion or loss of content.

Jus Intellectual Property

All content in the Software and Service (including software code, features, UI/UX, layouts, text, graphics, audio/video, trademarks, and logos) is protected by copyright, trademark, patent, and other intellectual property laws. The Software is licensed, not sold, and no ownership transfers to you. Without Jus’s prior written permission, you may not use Jus’s trademarks, service marks, or trade dress.
Third-Party Services and Open-Source Components
The Service may include or interoperate with third-party SDKs and services (e.g., maps, analytics, login, advertising), which are governed by their own terms and privacy policies. The Software may contain open-source components; where this Agreement conflicts with an open-source license, the open-source license controls for that component. Versions obtained via an app store (e.g., Apple App Store or Google Play) are also subject to the store’s terms.

In-App Purchases and Subscriptions

You may purchase features, content, or subscriptions via your authorized app-store account (your “IAP Account”). Fees and taxes are charged by the store according to the price and terms shown at purchase.

Auto-Renewal: Subscriptions renew automatically each term unless you cancel in your app-store account settings before renewal. Deleting the JusTalk app or your JusTalk account does not cancel a store subscription.
Cancellation & Refunds: After cancellation, you retain access until the end of the current paid term. Refunds, if any, are governed by the app-store policies.
Price Changes: We or the store may change prices or features for future terms; we will provide notice as required by law. Continued use after the change takes effect constitutes acceptance.

Network and Device Requirements

Using the Service may incur data charges from your carrier/ISP, which you are responsible for. You must ensure you have compatible hardware, network, and system environments. We may send you service-related notices (e.g., security, updates, or transactional information).

Acceptable Use and Safety

You shall not use the Service to harass, threaten, defame, defraud, disseminate unlawful content, or distribute malicious code. You must comply with applicable laws and platform rules. Jus may investigate violations and cooperate with law enforcement where necessary.

Data Use and Privacy

We collect and use necessary technical and usage information (e.g., device model, OS version, IP address, call-quality metrics, diagnostic logs) to operate, secure, optimize, and improve the Service. We handle your personal information strictly in accordance with our Privacy Policy, and implement reasonable security and protection measures to prevent unauthorized access, disclosure, use, or loss of information. By using the Software, you consent to our collection, use, storage, and processing of your information as described in the Privacy Policy.

Term and Termination

This Agreement remains effective while you use the Service. You may request account deletion at any time in-app or by emailing [email protected]. If we determine that you have violated this Agreement or applicable law, or for security, legal, or operational reasons, Jus may suspend or terminate the Service or your account at any time. Upon termination, your license immediately ends and you must cease all use of the Software. Provisions that by their nature should survive (e.g., IP, disclaimers, limitation of liability, indemnity, governing law) will survive termination.

Disclaimer

The Software and Service are provided “as is” and “as available.” To the maximum extent permitted by law, Jus and its affiliates and licensors disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, continuity, security, and error-free operation. We do not warrant that the Service will be uninterrupted, error-free, or free of security risks. Some jurisdictions do not allow the exclusion of implied warranties; some exclusions may not apply to you.

Export Controls and Compliance

You must comply with all applicable export control and economic sanctions laws. You represent and warrant that you are not located in or controlled by any sanctioned country and are not a restricted party.

Amendments

Jus may modify this Agreement at any time. The latest version will be posted in the app or on justalk.com. If changes materially affect your rights, we will provide reasonable advance notice (e.g., in-app notice or email). Your continued use after the effective date constitutes acceptance of the amended Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the jurisdiction where Jus’s principal place of business is located (excluding its conflict-of-laws rules).
Any dispute arising out of or relating to this Agreement or the Software shall be submitted to the court with jurisdiction at Jus’s place of business.
You consent to the exclusive jurisdiction of such court.

Miscellaneous

Entire Agreement: This Agreement and the Privacy Policy constitute the entire agreement regarding the Service and supersede prior understandings.
Severability: If any provision is held invalid, the remaining provisions remain in full force and effect.
No Waiver: Any failure or delay in enforcing a provision is not a waiver.
Assignment: You may not assign this Agreement without our written consent. Jus may assign this Agreement to an affiliate or in connection with a merger, acquisition, or asset transfer.
Force Majeure: Jus is not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, war, strikes, network failures, government actions).
Third-Party Terms: App-store providers (e.g., Apple) may be third-party beneficiaries to the extent required by their developer terms.
