1. Scope

These Terms apply to sticker works submitted by creators through JusTalk’s official creator recruitment campaigns, submission forms, creator programs, email, or other channels officially designated by JusTalk.
Sticker works include, but are not limited to:

• Static stickers;
• Animated stickers;
• Sticker pack covers;
• Sticker pack names;
• Sticker pack descriptions;
• Character designs;
• Text, graphics, actions, and animation effects contained in the stickers;
• Source files, exported files, preview images, explanatory materials, and other materials related to the delivery of the sticker works.

By submitting a work, the creator acknowledges that they have read, understood, and agreed to these Terms.

2. Copyright Ownership

Provided that the submitted sticker work does not violate these Terms or any applicable laws or regulations, the original copyright in the work will remain with the creator or the lawful rights holder.
JusTalk’s receipt, review, testing, display, or publication of a submitted work does not mean that JusTalk acquires ownership of the copyright in the work, nor does it constitute a transfer or buyout of the copyright by JusTalk.

3. Authorization During the Submission Review Stage

Upon submitting a work, the creator authorizes JusTalk and its affiliates to receive, store, access, review, and process the work to the extent necessary for submission review, internal evaluation, technical testing, copyright risk assessment, content safety review, and program administration.
This authorization is granted solely for the purpose of determining whether the work complies with the publication requirements of the JusTalk Sticker Store, applicable campaign rules, copyright requirements, technical specifications, and content safety requirements.
Submitting a work does not guarantee that the work will be selected, published, displayed, or promoted.

4. License for Selected and Published Works

If a creator’s work is selected by JusTalk, the creator is notified that the work has been selected, the work enters the publication process, or the work is actually displayed, published, distributed, or otherwise used in any JusTalk-related product, the creator grants JusTalk and its affiliates a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, transferable, and perpetual license.
To the maximum extent permitted by law, this license is irrevocable. If applicable law does not permit an irrevocable license, the license will remain effective to the extent necessary to maintain JusTalk’s product functionality, users’ historical use of the work, the display of previously published content, the retention of promotional materials, and compliance-related processing.
The scope of the license includes, but is not limited to, the right to:

1. Display, publish, distribute, recommend, and otherwise make the work available through JusTalk, JusTalk Kids, JusTalk Family, and other JusTalk-related products and services;
2. Allow users to view, preview, add, download, send, receive, save, forward, or otherwise use the stickers in chats;
3. Use the work in JusTalk apps, official websites, social media, advertising materials, campaign pages, system messages, push notifications, emails, mobile web pages, App Store and Google Play listing and promotional materials, and other operational or promotional contexts;
4. Use the work for product testing, feature testing, content review, safety checks, recommendation testing, user experience optimization, data analytics, and platform operational analysis;
5. Perform any technical processing, format conversion, display adaptation, or preparation of operational and promotional materials that is reasonably necessary for the purposes described above;
6. Permit app stores, cloud service providers, content delivery network providers, review service providers, technical service providers, data service providers, marketing service providers, and other partners to store, process, display, distribute, or otherwise transmit the work to the extent necessary for them to provide services to JusTalk.

5. Free, Limited-Time Free, Member-Only, and Paid Use; No Revenue Sharing

The creator understands and agrees that JusTalk may, at its discretion and based on its products, operations, campaigns, membership benefits, and commercial strategies, determine how a submitted work is published, where it is displayed, its access or benefit category, the users to whom it is made available, how long it is displayed, and how it is used.
A work may be used in one or more of the following ways:

1. Made available to all users as a free sticker pack;
2. Made available to all users free of charge for a specified limited period;
3. Made available to members as a member-only sticker pack;
4. Offered as paid content or as part of a subscription benefit, membership benefit, campaign reward, or bundled benefit;
5. Displayed or used differently across countries, regions, products, platforms, user groups, or campaign periods;
6. Used as an example, creative asset, or promotional material in operational promotions, advertising campaigns, app store listings, social media promotions, or campaign pages.

Unless the parties enter into a separate written agreement, the creator will not receive any sales revenue share, subscription revenue share, membership revenue share, advertising revenue share, profit share, or other additional compensation, regardless of whether the work is offered for free, made available free of charge for a limited period, offered to members, sold as paid content, included as a subscription benefit, used as a campaign reward, or otherwise commercialized.
TalkiePods, membership benefits, physical prizes, virtual benefits, campaign rewards, or other rewards provided as part of the creator recruitment campaign are rewards or tokens of appreciation for eligible submissions or campaign participation. They do not constitute a copyright buyout payment, creator fee, sales revenue share, subscription revenue share, or any commitment to distribute future revenue.

6. Creator Representations and Warranties Regarding Originality and Rights

The creator represents and warrants that:

1. The submitted work is the creator’s original work, or the creator has obtained lawful, complete, valid, and sufficient rights to authorize JusTalk to use the work;
2. The submitted work does not infringe any third party’s copyright, trademark rights, image or likeness rights, rights in their name, privacy rights, rights of publicity, design rights, trade secrets, or other lawful rights or interests;
3. All characters, graphics, text, fonts, images, sound effects, animations, templates, materials, AI-generated content, jointly created content, commissioned content, or works created in the course of employment that are used in the submitted work are free from any defect in ownership or title;
4. If the work uses third-party materials, fonts, templates, AI tools, jointly created content, school projects, company projects, or commissioned content, the creator has obtained sufficient lawful authorization to permit JusTalk to use the work;
5. The submitted work does not contain any unauthorized brand logo, event mark, sports team mark, image of a celebrity or influencer, character from a film, television program, animation, or game, or the name or imagery of another communication app;
6. The submitted work does not contain illegal, infringing, pornographic, violent, hateful, discriminatory, gambling-related, politically sensitive, age-inappropriate, or other content that is unsuitable for display on the JusTalk platform.

JusTalk may require the creator to provide proof of originality, proof of authorization, information about the source of materials, an AI-use disclosure, consent from co-creators, or other evidence of rights.
If the creator fails to provide sufficient evidence, JusTalk may reject the work, suspend its use, remove the work, revoke the creator’s selection status, or suspend the distribution of rewards.

7. Copyright and Source Disclosure

When submitting a work, the creator must complete a copyright and source disclosure and truthfully disclose the origin of the work.
The disclosure should include:

• Whether the work is entirely original;
• Whether any third-party materials, fonts, templates, or images were used;
• Whether any AI tools were used;
• Whether the work was jointly created by multiple creators;
• Whether the work was created as part of a school, company, or commissioned project;
• Whether authorization has been obtained from all relevant rights holders.

The creator must not conceal the use of third-party materials, AI-generated content, jointly created content, commissioned works, works made in the course of employment, or any other information that may affect the ownership of rights in the work.

8. Review, Publication, Modification, Removal, and Retention of Historical Content

JusTalk may review submitted works based on product positioning, content quality, technical specifications, copyright risk, compliance requirements, user feedback, operational plans, or commercial strategies.
JusTalk may determine, at its discretion, whether a work will be published, when it will be published, the products or regions in which it will be made available, how long it will be displayed, and whether it will be modified, removed, replaced, or no longer used.
The creator understands and agrees that:

1. Submitting a work does not guarantee that it will be selected or published;
2. Selection or publication of a work does not constitute a commitment by JusTalk to display, use, or promote the work continuously or indefinitely;
3. JusTalk may adjust the work’s title, description, order, tags, cover, display format, access or benefit category, or placement as reasonably necessary;
4. If the work is subject to an infringement complaint, ownership dispute, content risk, technical issue, user complaint, or noncompliance with platform rules, JusTalk may suspend its display, restrict its use, remove or delete the work, or discontinue its promotion;
5. After a work is removed or no longer displayed, a campaign ends, or the cooperation is terminated, stickers that users previously sent, received, saved, added, or used may continue to be displayed, stored, or made accessible by JusTalk to a reasonable extent in order to preserve users’ historical chat records, system caches, backups, review records, and normal product functionality and user experience.

9. Modifications and Adaptations; Personality Rights and Moral Rights

To accommodate different products, device sizes, display placements, file formats, language versions, operational materials, and technical requirements, JusTalk may make necessary modifications, adjustments, or adaptations to submitted works.
Such processing may include, but is not limited to:

• Format conversion;
• File compression;
• Image resizing;
• Cropping and layout adjustments;
• Transparent-background processing;
• Animation optimization;
• Translation or localization;
• Cover adaptation;
• Display-order adjustments;
• Reformatting for operational or promotional materials.

To the maximum extent permitted by law, the creator agrees that JusTalk may carry out the necessary processing described above and agrees not to object to or assert claims arising from JusTalk’s reasonable technical adaptations, display optimizations, operational reformatting, or promotional use of the work.
With respect to personality rights, moral rights, or similar rights that cannot be waived under the laws of certain countries or regions, the creator agrees, to the maximum extent permitted by law, not to assert or exercise those rights against JusTalk, its affiliates, service providers, partners, or users, or confirms that the consent of the relevant rights holder has been obtained.

10. Infringement Claims and Liability

If a submitted work gives rise to any complaint, report, dispute, claim, administrative investigation, or legal proceeding concerning originality, the scope of authorization, third-party materials, AI-generated content, jointly created content, works created in the course of employment, commissioned works, portraits, trademarks, fonts, or other rights-related issues, the creator must cooperate with JusTalk by providing the relevant supporting materials and will bear the corresponding legal responsibility in accordance with applicable law.
If the creator’s violation of these Terms, the submission rules, or applicable laws or regulations causes JusTalk, its affiliates, partners, or users to suffer any loss, the creator will bear the corresponding legal responsibility, including responsibility for addressing complaints, ceasing infringement, compensating for losses, and paying reasonable rights-enforcement costs.
Upon receiving a complaint, identifying a risk, or reasonably determining that a work may be subject to a dispute, JusTalk may take any of the following interim actions:

• Suspend the review process;
• Reject the work for publication;
• Remove the work;
• Block or restrict its display;
• Discontinue its promotion;
• Suspend the distribution of rewards;
• Revoke the creator’s selection status;
• Terminate any further cooperation with the creator.

If the creator subsequently provides sufficient, lawful, and valid evidence of rights, JusTalk may determine, at its discretion, whether to restore the work or continue using it.

11. Submissions by Minors

If a creator is a minor or otherwise lacks full legal capacity under the laws of their country or region, the work must be submitted with the consent and under the guidance of the creator’s legal guardian.
JusTalk may require a minor creator to provide proof of their guardian’s consent. If such proof cannot be provided, JusTalk may reject the submission, revoke the creator’s selection status, suspend the distribution of rewards, or discontinue use of the relevant work.

12. No Employment, Partnership, or Agency Relationship

A creator’s participation in the submission program, receipt of rewards, or use of their work by JusTalk does not create an employment, labor, partnership, agency, commissioned-work, work-made-for-hire, contract-for-work, or other similar relationship between the creator and JusTalk.
Unless the parties enter into a separate written agreement, the creator does not represent JusTalk and has no authority to make any commitment, statement, authorization, or commercial arrangement on behalf of JusTalk.

13. Updates and Supplemental Agreements

JusTalk may update these Terms as necessary based on product requirements, campaign requirements, legal and compliance requirements, or operational needs.
The updated Terms will be made available on the relevant page, submission form, or campaign rules.

14. Governing Law and Jurisdiction

The formation, validity, interpretation, performance, and resolution of disputes under or in connection with these Terms will be governed by the laws of the People’s Republic of China.
Any dispute arising out of or relating to these Terms should first be resolved through good-faith consultation between the parties. If the dispute cannot be resolved through consultation, either party may bring legal proceedings before a People’s Court of competent jurisdiction at the Organizer’s domicile.
